Terms of Service

These Terms of Service constitute a legally binding agreement governing access to and use of Song.Reviews (“Site”, “we”, “us”, “our”), including the website located at https://song.reviews/, its pages, subdomains, feeds, features, services, editorial content, reviews, ratings, interviews, articles, promotions, advertisements, partner content, and any other services operated under the Song.Reviews name (collectively, the “Site”).

Please read these Terms carefully.

1. ACCEPTANCE OF THESE TERMS

By accessing, browsing, viewing, linking to, submitting content to, interacting with, or otherwise using any portion of the Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all policies incorporated into them by reference.

Your continued use of the Site constitutes acceptance of these Terms as then in effect.

If you do not agree with these Terms, you must discontinue use of the Site.

Your acceptance is made without modification, qualification, reservation, or exception except to the extent that a right cannot lawfully be waived under applicable law.

Nothing in these Terms is intended to require the waiver of any right that applicable law expressly prohibits a party from waiving.

These Terms apply whether you access the Site as a casual visitor, reader, artist, musician, songwriter, producer, record label, distributor, publisher, publicist, advertiser, commercial partner, affiliate merchant, content submitter, prospective partner, or other person or organization.

2. DEFINITIONS

For purposes of these Terms:

“Editorial Content” means reviews, scores, ratings, criticism, articles, features, interviews, commentary, news coverage, artist profiles, album profiles, song profiles, and other material created or selected by Song.Reviews in the exercise of its independent editorial judgment.

“Editorial Review” means an independent critical evaluation published by Song.Reviews and may include a numerical score, rating, recommendation, classification, written opinion, or other evaluative material.

“Affiliate Link” means a hyperlink, tracking link, referral code, button, widget, or similar mechanism through which Song.Reviews may receive compensation, a commission, referral payment, credit, or other economic benefit if a visitor performs an action such as purchasing a product, purchasing a ticket, subscribing to a service, registering for a service, or completing another qualifying transaction.

“Partner” means an artist, record label, distributor, publisher, promoter, manager, agency, music service, retailer, manufacturer, platform, company, organization, or other person or entity that has entered into a commercial advertising, promotional, sponsorship, placement, marketing, or similar relationship with Song.Reviews.

“Promoted Item” means a premium placement, advertisement, sponsored unit, featured listing, promotional card, banner, highlighted placement, callout, or other paid or commercially supported placement supplied or purchased by a Partner.

“Promoted Content” means content appearing on Song.Reviews that is created, supplied, commissioned, approved, or materially controlled by a Partner and presented as advertising, sponsored material, promotional material, partner material, or another clearly identified form of commercial content.

“Partner Content” collectively means Promoted Items, Promoted Content, advertising materials, images, copy, video, audio, claims, links, promotional descriptions, offers, trademarks, artwork, metadata, or other material supplied by or on behalf of a Partner.

“Submission” means any material voluntarily provided to Song.Reviews, including music submissions, pitches, press releases, press kits, biographies, photographs, cover artwork, promotional artwork, videos, links, corrections, comments, feedback, advertising materials, Partner Content, or other material.

“User” means any person or entity accessing or using the Site.

3. PURPOSE AND NATURE OF SONG.REVIEWS

Song.Reviews is an independent music criticism, commentary, discovery, information, features, and entertainment publication.

The Site may publish positive reviews, negative reviews, mixed reviews, recommendations, criticism, satire, commentary, opinion, factual reporting, interviews, historical material, promotional content, advertisements, affiliate links, or combinations of these types of material.

Editorial criticism necessarily involves subjective judgment.

Different reviewers, publications, listeners, artists, audiences, and critics may reasonably reach different conclusions concerning the same song, album, performance, recording, artist, or subject.

No score, rating, classification, recommendation, description, ranking, or editorial opinion published by Song.Reviews is represented as an objective or universally applicable measurement of artistic quality.

4. EDITORIAL INDEPENDENCE

Except where content is expressly identified as Promoted, Promoted Content, sponsored, advertising, Partner Content, or otherwise commercially supplied, Song.Reviews retains sole editorial control over its Editorial Content.

Editorial decisions may include, without limitation:

  • whether a song, album, artist, performance, release, event, product, or subject will be reviewed;
  • whether submitted material will be covered;
  • which writer or editor will handle coverage;
  • the form and length of coverage;
  • headlines and summaries;
  • review language;
  • criticism;
  • numerical ratings;
  • qualitative ratings;
  • recommendations;
  • publication dates;
  • editorial prominence;
  • placement;
  • categorization;
  • inclusion in features or roundups;
  • revisions and corrections;
  • whether coverage will be updated;
  • whether coverage will remain published; and
  • whether additional coverage will occur.

No artist, label, distributor, manager, publicist, advertiser, Partner, retailer, affiliate network, or other third party has a contractual or implied right to control independent Editorial Content unless Song.Reviews expressly agrees otherwise in a separate written agreement relating to a specific non-editorial service.

5. REVIEWS, RATINGS, AND EDITORIAL OPINIONS

Reviews and ratings represent the editorial judgment expressed at the time of publication.

A score is not a warranty, certification, appraisal, prediction of commercial success, prediction of audience reaction, or statement of economic value.

Ratings may reflect numerous considerations, including composition, performance, production, originality, execution, context, artistic intent, genre conventions, historical context, cultural impact, technical quality, or the individual critical judgment of the reviewer.

The relative importance of those factors may differ between reviews.

Song.Reviews does not warrant that ratings assigned at different times, by different reviewers, or under different editorial systems are mathematically comparable.

Song.Reviews may revise scoring systems, terminology, classifications, editorial standards, or methodologies at any time.

Historical scores may remain displayed under the methodology applicable when originally published.

6. NO RIGHT TO A FAVORABLE REVIEW

Submission of music or promotional materials does not create a right to:

  • coverage;
  • publication;
  • a review;
  • a score;
  • a particular score;
  • favorable treatment;
  • expedited coverage;
  • advance notice of a review;
  • preview of a review;
  • editorial approval;
  • correction of matters of opinion;
  • removal of criticism;
  • reconsideration of a score;
  • placement on the Site;
  • inclusion in a feature;
  • inclusion in search results;
  • social-media promotion; or
  • any other editorial consideration.

Song.Reviews may decline to review or cover any submission for any lawful reason or for no stated reason.

7. NO PAY-FOR-RATING OR PAY-FOR-FAVORABILITY POLICY

Song.Reviews does not sell favorable editorial opinions.

Unless expressly identified as advertising or Partner Content, payment to Song.Reviews does not purchase:

  • a positive review;
  • a higher score;
  • a favorable recommendation;
  • a softer criticism;
  • guaranteed editorial coverage;
  • favorable wording;
  • omission of negative commentary;
  • suppression of an unfavorable review;
  • alteration of an independently assigned rating;
  • preferential editorial treatment; or
  • special consideration by an editor or reviewer.

Song.Reviews does not knowingly condition compensation, benefits, advertising opportunities, affiliate relationships, promotions, or other commercial arrangements on the expression of a particular positive or negative editorial sentiment.

Commercial relationships and independent editorial opinions are treated as separate functions.

8. AFFILIATE LINKS AND COMMISSIONS

The Site may contain Affiliate Links.

If you click an Affiliate Link and subsequently purchase a product or service, subscribe to a service, register for an account, buy tickets, purchase music or merchandise, or complete another qualifying transaction, Song.Reviews may receive a commission, referral fee, revenue share, credit, or other compensation.

In many circumstances, use of an Affiliate Link does not increase the price you pay, although Song.Reviews does not guarantee that pricing through an Affiliate Link will always be identical to pricing obtainable elsewhere.

The existence or amount of affiliate compensation does not determine:

  • whether a work receives a review;
  • whether a review is favorable or unfavorable;
  • the review score;
  • the language used in a review;
  • editorial recommendations;
  • placement within ordinary Editorial Content;
  • whether criticism is included or omitted; or
  • whether the reviewed artist, song, album, product, or service receives special consideration.

An independent review may contain an Affiliate Link even when the review is negative, mixed, or otherwise unfavorable.

An Affiliate Link may also be added to existing Editorial Content after that content was originally written or scored.

The later addition of an Affiliate Link does not convert the underlying Editorial Content into paid editorial coverage.

Affiliate relationships frequently exist with retailers, platforms, ticketing services, streaming services, merchants, marketplaces, or other intermediaries rather than directly with the artist or subject discussed in the Editorial Content.

Song.Reviews may receive different commission rates from different merchants.

Those differences do not entitle a merchant or reviewed subject to influence independent editorial ratings or opinions.

Where applicable, Song.Reviews may display additional affiliate disclosures near relevant links, recommendations, or content.

The presence of this section in these Terms does not replace any separate disclosure that Song.Reviews determines is appropriate or legally required in connection with particular Affiliate Links.

9. AFFILIATE LINKS DO NOT CONSTITUTE ENDORSEMENT OF THE MERCHANT

An Affiliate Link should not be interpreted as a warranty or endorsement of the destination website, retailer, platform, merchant, payment processor, product fulfillment service, or other third party.

Song.Reviews may link to a merchant because it provides a convenient way for readers to find material discussed on the Site.

A review of a song or album does not necessarily constitute an endorsement of every retailer, subscription service, ticket provider, platform, or merchant linked from the review.

Any transaction completed through a third party is a transaction between you and that third party.

Song.Reviews is not responsible for third-party:

  • prices;
  • fees;
  • subscriptions;
  • renewals;
  • billing;
  • taxes;
  • shipping;
  • availability;
  • refunds;
  • returns;
  • warranties;
  • customer service;
  • security;
  • privacy practices;
  • products;
  • representations; or
  • performance.

10. PROMOTED ITEMS

Promoted Items are premium commercial placements supplied, purchased, sponsored, or otherwise provided by Partners.

Promoted Items are distinct from independent Editorial Reviews.

A Partner may pay Song.Reviews for placement, exposure, advertising inventory, presentation, or other promotional services.

Payment for a Promoted Item does not purchase an independent review score.

Payment for promotion does not guarantee:

  • a favorable review;
  • a favorable rating;
  • a particular score;
  • editorial praise;
  • future editorial coverage;
  • favorable treatment in unrelated Editorial Content;
  • inclusion in an editorial recommendation;
  • avoidance of criticism;
  • placement in editorial rankings; or
  • any other special editorial consideration.

Promotional agreements govern promotional services only unless a signed written agreement expressly states otherwise.

11. PROMOTED CONTENT

Promoted Content is commercial content presented on behalf of a Partner.

Promoted Content may include:

  • artist introductions;
  • release announcements;
  • song descriptions;
  • album descriptions;
  • biographies;
  • interviews supplied or controlled by a Partner;
  • promotional articles;
  • release information;
  • tour information;
  • advertisements;
  • calls to action;
  • promotional videos;
  • photographs;
  • artwork;
  • links;
  • product descriptions;
  • marketing claims; or
  • other Partner-supplied material.

Promoted Content is not an independent Song.Reviews review.

Song.Reviews may label such material using terms including:

  • “Promoted”;
  • “Promoted Content”;
  • “Sponsored”;
  • “Advertisement”;
  • “Presented By”;
  • “Partner Content”; or
  • another reasonably clear commercial disclosure.

Labels and presentation may evolve over time.

12. PARTNER RESPONSIBILITY FOR PROMOTED CONTENT

Partners are responsible for Partner Content they submit, provide, authorize, approve, or cause to be published.

Unless expressly stated otherwise, Song.Reviews does not independently verify every factual representation, promotional claim, testimonial, statistic, quotation, product claim, biographical claim, rights claim, description, offer, price, availability statement, performance claim, or other representation contained in Partner Content.

Partner Content reflects the content and language supplied or approved by the Partner.

Song.Reviews may perform formatting, proofreading, technical processing, layout changes, accessibility adjustments, moderation, disclosure additions, link processing, or other administrative modifications.

Such processing does not convert Partner Content into independent Editorial Content and does not constitute independent verification or endorsement of the Partner’s claims.

Each Partner represents and warrants that its Partner Content:

  1. is truthful and not materially misleading;
  2. complies with applicable advertising and consumer-protection law;
  3. contains disclosures required by applicable law;
  4. does not infringe copyrights, trademarks, publicity rights, privacy rights, contractual rights, or other rights;
  5. does not contain defamatory material;
  6. does not contain unlawful or deceptive claims;
  7. does not impersonate another person or entity;
  8. does not contain fake or misleading endorsements or testimonials;
  9. does not contain malicious code;
  10. does not direct users to unlawful or fraudulent services; and
  11. may lawfully be published and promoted by Song.Reviews.

Song.Reviews reserves the right to reject, suspend, modify, relabel, or remove Partner Content that Song.Reviews believes may violate these Terms, applicable law, platform policies, advertising standards, contractual obligations, or the reputation or integrity of the Site.

13. COMMERCIAL PARTNER CONFLICT-OF-INTEREST POLICY

Song.Reviews maintains a specific separation between commercial partnerships and scored editorial criticism.

Once an artist, label, distributor, publisher, promoter, platform, company, or other covered subject becomes a Partner, Song.Reviews does not newly score or rate that Partner or Partner Content as though it were independent editorial material during the commercial relationship.

This policy exists because Song.Reviews considers an active financial relationship with a subject to create a conflict of interest incompatible with assigning an independent Song.Reviews score to that subject during the relationship.

Accordingly:

We do not sell reviews to Partners.

We do not sell review scores to Partners.

We do not assign Partner promotional material an editorial score.

We do not present Partner-supplied promotional copy as an independent Song.Reviews review.

We do not permit commercial compensation to purchase favorable editorial treatment.

During a partnership, content supplied by the Partner may instead appear as clearly identified Promoted Content, advertising, sponsored material, or another commercial format.

14. REVIEWS PUBLISHED BEFORE A PARTNERSHIP

A commercial relationship does not retroactively purchase, alter, invalidate, or control independent Editorial Content that existed before the relationship began.

If Song.Reviews independently reviewed an artist, song, album, service, or other subject before that subject became a Partner, the historical review and score may remain publicly available.

Song.Reviews is not required to:

  • increase the prior score;
  • reduce criticism;
  • remove the review;
  • rewrite the review;
  • change its headline;
  • add favorable language;
  • suppress the review; or
  • otherwise alter the historical editorial record because a later commercial relationship exists.

Song.Reviews may add a disclosure where appropriate to inform readers of a subsequently formed commercial relationship.

Such a disclosure does not imply that the original review was commercially influenced if it preceded the commercial relationship.

15. COVERAGE AFTER A PARTNERSHIP ENDS

Termination or expiration of a commercial relationship does not automatically require Song.Reviews to resume scored editorial coverage of the former Partner.

Song.Reviews may determine, in its sole editorial discretion and subject to applicable law, whether sufficient separation exists for future independent coverage.

There is no guaranteed cooling-off period, automatic restoration of review eligibility, or right to future independent coverage.

16. COMMERCIAL AGREEMENTS DO NOT OVERRIDE EDITORIAL INDEPENDENCE UNLESS EXPRESSLY STATED

A Partner’s advertising purchase, sponsorship, promotional agreement, media buy, campaign, or other commercial relationship governs the purchased commercial services.

It does not create control over unrelated Editorial Content.

If Song.Reviews and a Partner enter into a separate signed agreement, that written agreement may supplement these Terms.

If a specific provision of a separately executed agreement directly conflicts with these Terms, the executed agreement will control only to the extent of that specific conflict and only with respect to the parties and services governed by that agreement.

No advertising insertion order, email exchange, invoice, payment, or informal communication should be interpreted as transferring editorial control unless such transfer is expressly stated in a written agreement authorized by Song.Reviews.

17. NO GUARANTEE OF PROMOTIONAL PERFORMANCE

Unless expressly guaranteed in a separate written agreement, purchasing a Promoted Item or Promoted Content placement does not guarantee:

  • a particular number of page views;
  • impressions;
  • clicks;
  • conversions;
  • purchases;
  • streams;
  • followers;
  • subscribers;
  • social-media engagement;
  • chart performance;
  • media attention;
  • playlist placement;
  • audience growth;
  • revenue;
  • recognition;
  • publicity;
  • search-engine ranking; or
  • commercial success.

Statistics, projections, audience estimates, click-through estimates, conversion assumptions, and other campaign metrics may be estimates and are not warranties of future performance unless expressly stated otherwise in a signed agreement.

18. REVIEW COPIES, ADVANCE ACCESS, COMPLIMENTARY ITEMS, AND OTHER MATERIAL CONNECTIONS

Song.Reviews may receive press releases, advance access, review copies, digital files, promotional items, event access, complimentary admission, interview access, or other materials customarily provided to media organizations.

Receipt of such material does not guarantee coverage or favorability.

Providing Song.Reviews with a song, album, press kit, promotional copy, advance release, event ticket, product sample, or access opportunity does not entitle the provider to:

  • a review;
  • a positive review;
  • a specific score;
  • a publication date;
  • editorial approval;
  • control over publication;
  • or suppression of unfavorable criticism.

Where Song.Reviews determines that a material relationship requires disclosure, Song.Reviews may disclose that relationship in or near relevant content.

19. EDITORIAL SUBMISSIONS AND MUSIC PITCHES

Song.Reviews may permit artists, songwriters, producers, managers, publicists, labels, distributors, or other representatives to submit music or information for possible editorial consideration.

Submission does not create a contract for coverage.

Unless Song.Reviews expressly agrees otherwise in writing:

  • submissions are voluntary;
  • submissions may be ignored;
  • submissions may not receive a response;
  • submissions may not be reviewed;
  • submissions may be reviewed at any time;
  • submissions may be declined without explanation;
  • no publication deadline exists;
  • no embargo exists unless Song.Reviews expressly accepts it;
  • no confidentiality obligation exists; and
  • no compensation is owed for merely considering the submission.

Song.Reviews may receive multiple substantially similar pitches, concepts, songs, titles, themes, stories, marketing ideas, or creative concepts.

Submission does not prevent Song.Reviews from independently publishing material that is similar to a submitted idea.

20. AUTHORITY TO SUBMIT MATERIAL

By submitting material to Song.Reviews, you represent and warrant that:

  1. you are authorized to make the submission;
  2. the submission does not violate an agreement with another party;
  3. information you provide about your authority or relationship to the artist is accurate;
  4. promotional assets you identify as approved for media use may lawfully be used for the purpose for which they were supplied;
  5. your submission does not knowingly infringe third-party rights; and
  6. your submission does not contain malware, malicious code, or unlawful material.

Submitting a link to publicly available music does not transfer ownership of the music to Song.Reviews.

21. LICENSE FOR SUBMITTED PROMOTIONAL MATERIALS

When you provide photographs, artwork, biographies, press releases, promotional images, videos, logos, descriptions, or other materials specifically for publication or promotional use, you grant Song.Reviews a non-exclusive, worldwide, royalty-free license to host, reproduce, display, resize, format, distribute, communicate, excerpt, and otherwise use those submitted materials as reasonably necessary to:

  • evaluate the submission;
  • publish relevant coverage;
  • identify the artist, release, or subject;
  • display the material on the Site;
  • promote Song.Reviews coverage;
  • distribute Site content through feeds or social media;
  • archive Site content; and
  • operate the Site.

You retain ownership of rights you otherwise hold in submitted materials.

This license does not grant Song.Reviews ownership of the underlying musical composition, sound recording, trademark, photograph, or other work.

Separate Partner agreements may grant additional rights.

22. UNSOLICITED CREATIVE IDEAS

Song.Reviews does not accept unsolicited ideas on a confidential basis unless expressly agreed in writing before submission.

If you voluntarily submit concepts, article ideas, feature ideas, advertising ideas, business concepts, website concepts, slogans, product ideas, or other unsolicited ideas, you understand that:

  • the submission is not confidential;
  • no fiduciary relationship is created;
  • no obligation to develop the idea exists;
  • Song.Reviews may already be considering similar ideas;
  • Song.Reviews may independently develop similar material; and
  • no compensation is owed merely because Song.Reviews later publishes or develops something similar.

This section does not transfer ownership of copyrighted material beyond licenses otherwise granted under these Terms.

23. CORRECTIONS AND FACTUAL DISPUTES

Song.Reviews distinguishes between factual corrections and disagreements with editorial opinion.

A person who believes Editorial Content contains a material factual error may submit a correction request through a contact mechanism designated by Song.Reviews.

A correction request should identify:

  • the page at issue;
  • the specific statement believed to be incorrect;
  • the proposed correction;
  • supporting evidence; and
  • the requester’s relationship to the subject, if relevant.

Song.Reviews may investigate and correct material factual errors in its editorial discretion.

A disagreement with a reviewer’s taste, interpretation, judgment, score, conclusion, characterization, or opinion does not by itself constitute a factual error.

Song.Reviews is not required to remove or change criticism merely because the artist, label, publicist, fan, advertiser, or Partner disagrees with it.

Song.Reviews may update content without notice.

24. RIGHT OF REPLY

No person or entity has an automatic contractual right of reply to Editorial Content.

Song.Reviews may, in its editorial discretion:

  • request comment;
  • publish a response;
  • publish an interview;
  • add a correction;
  • add clarification;
  • link to an external response;
  • update an article; or
  • decline further coverage.

Commercial leverage, advertising purchases, threats to withdraw advertising, affiliate arrangements, or Partner status do not create a right to control independent editorial responses.

25. OPINION, COMMENTARY, HUMOR, AND SATIRE

Some Site material may contain strong opinions, rhetorical language, humor, exaggeration, sarcasm, satire, cultural commentary, or other expressive devices commonly used in criticism and commentary.

Users should evaluate statements in their full context.

Statements of opinion represent editorial judgment rather than guarantees of objective fact.

Nothing in this provision authorizes knowingly false statements of fact or otherwise unlawful content.

26. ACCURACY AND COMPLETENESS OF INFORMATION

Song.Reviews attempts to provide useful and accurate information but does not guarantee that all Site information will always be complete, current, error-free, or exhaustive.

Music-related information can change, including:

  • release dates;
  • credits;
  • artist lineups;
  • label relationships;
  • chart positions;
  • streaming availability;
  • tour information;
  • product availability;
  • prices;
  • biographies;
  • rights ownership;
  • public statements;
  • industry relationships; and
  • external links.

Historical sources may conflict.

Publicly reported information may later be corrected.

Song.Reviews reserves the right to correct, clarify, update, replace, archive, or remove information at any time.

27. ARTIST, LABEL, AND THIRD-PARTY TRADEMARKS

Names, logos, album titles, song titles, service marks, trade names, and trademarks belonging to artists, record labels, publishers, distributors, services, platforms, or other parties remain the property of their respective owners.

Reference to a trademark, artist, song, album, service, or company does not imply sponsorship, affiliation, approval, or endorsement unless expressly stated.

Song.Reviews may use names and marks for purposes including commentary, criticism, identification, news reporting, indexing, description, comparison, or other lawful purposes.

28. SONG.REVIEWS INTELLECTUAL PROPERTY

Except for third-party material, Partner Content, submitted material, and other content identified as belonging to another party, the Site and its original content are owned by or licensed to Song.Reviews.

This may include:

  • reviews;
  • articles;
  • features;
  • editorial text;
  • rating systems;
  • original graphics;
  • logos;
  • layouts;
  • databases;
  • taxonomies;
  • software;
  • Site design;
  • original photographs;
  • compilations;
  • metadata;
  • editorial selections; and
  • other original material.

These materials may be protected by copyright, trademark, database, unfair competition, and other laws.

29. LIMITED LICENSE TO USE THE SITE

Song.Reviews grants you a limited, revocable, non-exclusive, non-transferable license to access publicly available portions of the Site for lawful personal or internal informational use, subject to these Terms.

This license does not grant permission to reproduce, republish, commercially exploit, systematically extract, resell, sublicense, mirror, or redistribute substantial portions of the Site.

All rights not expressly granted are reserved.

30. QUOTING AND LINKING TO SONG.REVIEWS

You may link to publicly accessible Site pages provided the link does not falsely imply sponsorship, approval, authorship, partnership, or endorsement by Song.Reviews.

Limited quotation from Song.Reviews may be permitted where authorized by applicable law.

These Terms do not restrict rights available under copyright doctrines such as fair use or other rights that cannot lawfully be restricted by contract.

You may not falsely attribute altered Song.Reviews text to Song.Reviews.

You may not reproduce an entire review, article, database, or substantial collection merely because attribution is provided.

31. AUTOMATED ACCESS, SCRAPING, DATA MINING, AND AI TRAINING

Except as expressly permitted by Song.Reviews or applicable law, you may not use automated systems to systematically extract, reproduce, download, archive, or exploit Site content.

Prohibited automated activities may include:

  • scraping;
  • crawling contrary to published access controls;
  • bulk downloading;
  • database replication;

  • automated circumvention of technical limitations;
  • building commercial review databases;
  • republishing substantial collections;
  • extracting ratings at scale for competing commercial services;
  • using Site content as training data for artificial intelligence or machine-learning systems;
  • creating machine-learning datasets from substantial portions of the Site;
  • creating embeddings or derived datasets for commercial republication;
  • training systems designed to imitate Song.Reviews editorial output;
  • automated generation of derivative commercial review databases; or
  • circumventing robots.txt, rate limits, authentication requirements, or other access controls.

General-purpose search engines may index publicly available pages to the extent permitted by Song.Reviews technical directives, including robots.txt or comparable controls.

Authorized RSS readers, feed readers, link-preview systems, and similar ordinary web technologies may access content made available for those purposes.

Song.Reviews may block or limit automated traffic at any time.

32. PROHIBITED USE

You may not use the Site to:

  1. violate applicable law;
  2. infringe intellectual-property rights;
  3. impersonate another person or organization;
  4. misrepresent your authority to represent an artist, label, Partner, or company;
  5. transmit malware;
  6. attempt unauthorized access to Site systems;
  7. bypass security controls;
  8. disrupt Site infrastructure;
  9. conduct denial-of-service activity;
  10. harvest personal information unlawfully;
  11. spam Site contact mechanisms;
  12. manipulate ratings or Site metrics;
  13. falsely represent commercial material as independent Song.Reviews editorial content;
  14. remove or obscure commercial disclosures;
  15. misrepresent a Song.Reviews score;
  16. fabricate a Song.Reviews review;
  17. falsely claim endorsement by Song.Reviews;
  18. republish altered material in a manner falsely attributed to Song.Reviews;
  19. use Site infrastructure for fraudulent activity;
  20. interfere with another User’s use of the Site; or
  21. encourage another person to do any of the foregoing.

33. USER ACCOUNTS AND INTERACTIVE FEATURES

If Song.Reviews introduces accounts, comments, profiles, voting, community ratings, forums, playlists, saved items, or other interactive features, additional terms or policies may apply.

Users will be responsible for maintaining the confidentiality of credentials issued to them.

Song.Reviews may suspend accounts or remove access for violations of these Terms.

Song.Reviews is not required to offer permanent accounts or preserve User-created data indefinitely.

34. USER-GENERATED CONTENT

If the Site permits User-generated content, the User submitting that content remains responsible for it.

By publishing User-generated content through a Site feature designed for public submission, the User grants Song.Reviews a non-exclusive, worldwide, royalty-free license to host, reproduce, display, distribute, format, moderate, and technically process that content in connection with operating and promoting the Site.

Users may not submit content that is unlawful, infringing, fraudulent, defamatory, threatening, harassing, deceptive, malicious, or otherwise prohibited by these Terms.

Song.Reviews may moderate User-generated content but has no obligation to publish every submission.

35. CONSUMER REVIEWS AND TESTIMONIALS

If Song.Reviews introduces consumer-review features, Users may not knowingly submit fake reviews, impersonate reviewers, misrepresent personal experience, or participate in schemes designed to manipulate ratings or public perception.

Businesses, advertisers, Partners, and their representatives may not use Song.Reviews to purchase, generate, solicit, or condition compensation upon reviews expressing a required positive or negative sentiment.

A Partner may not require a person to post a favorable review as a condition of receiving compensation, discounts, prizes, access, or other incentives through a Song.Reviews program.

Commercial relationships associated with testimonials or endorsements must be disclosed when required by applicable law.

Song.Reviews may remove material it reasonably believes is fraudulent, deceptive, manipulated, unlawfully incentivized, or otherwise inappropriate.

36. ADVERTISING AND THIRD-PARTY OFFERS

The Site may display advertisements from third parties.

An advertisement does not necessarily constitute an endorsement by Song.Reviews.

Advertisers are responsible for their advertisements, offers, products, representations, fulfillment, and compliance with applicable law.

Song.Reviews does not warrant that third-party advertisements are error-free or that advertised products or services will meet your expectations.

You are responsible for evaluating third-party offers before entering into transactions.

37. EXTERNAL LINKS

The Site may link to third-party websites and services including:

  • streaming platforms;
  • retailers;
  • ticketing services;
  • record labels;
  • artist websites;
  • social networks;
  • video services;
  • music databases;
  • publishers;
  • news sources;
  • payment providers;
  • merchandise stores; and
  • other external resources.

Song.Reviews does not control those services.

Third-party sites may change or disappear without notice.

Your use of third-party services is governed by the third party’s terms and privacy policies.

Song.Reviews is not responsible for external content, security, accessibility, availability, pricing, advertising, or business practices.

38. EMBEDDED CONTENT

The Site may display or embed content from third-party platforms.

Embedded content may be loaded, delivered, measured, or controlled by the third-party provider.

Use of embedded content may result in communication between your browser and the provider.

Song.Reviews does not control all technical or privacy behavior of third-party embeds.

39. PRIVACY

Use of the Site is also subject to the Song.Reviews Privacy Policy, if and as published.

The Privacy Policy describes practices relating to information collection, analytics, cookies, logs, or other data processing.

These Terms govern contractual use of the Site and should not be interpreted as replacing disclosures contained in the Privacy Policy.

40. COMMUNICATIONS

If you voluntarily provide contact information to Song.Reviews, Song.Reviews may use that information to respond to your inquiry, administer a submission, manage a Partner relationship, deliver requested services, or communicate about Site-related matters.

Commercial marketing communications will be handled in accordance with applicable law.

Electronic communications satisfy any requirement that communications be in writing to the extent permitted by law.

41. COPYRIGHT COMPLAINTS

Song.Reviews respects intellectual-property rights.

A person who believes material on the Site infringes copyright may submit a notice through the legal contact mechanism designated by Song.Reviews.

A notice should include sufficient information to identify:

  1. the copyrighted work claimed to have been infringed;
  2. the material alleged to be infringing;
  3. the location of that material on the Site;
  4. the complainant’s contact information;
  5. the basis for the complainant’s ownership or authority; and
  6. any statements or certifications required by applicable law.

Song.Reviews may request additional information before acting.

Song.Reviews may remove or disable access to disputed material when appropriate.

Knowingly submitting false infringement claims may result in legal liability.

If Song.Reviews becomes eligible for or relies upon a statutory notice-and-takedown framework, additional procedures and designated-agent information may be published separately.

42. TRADEMARK AND IMPERSONATION COMPLAINTS

A trademark owner or authorized representative may contact Song.Reviews regarding allegedly infringing or misleading use of a mark.

The complaint should identify the mark, relevant registration information if available, the complained-of material, and the basis for the claim.

Song.Reviews may determine whether action is appropriate.

Song.Reviews is not required to remove legitimate editorial, nominative, comparative, critical, or informational references merely because a trademark owner objects to them.

43. NO CONFIDENTIAL RELATIONSHIP

Except where Song.Reviews expressly agrees in writing, contacting the Site, submitting music, sending an email, making a correction request, providing a press kit, or submitting other material does not create:

  • an attorney-client relationship;
  • fiduciary relationship;
  • agency relationship;
  • partnership;
  • joint venture;
  • employment relationship;
  • confidential relationship; or
  • duty to keep unsolicited information confidential.

Separate written nondisclosure agreements remain enforceable according to their terms.

44. NO PROFESSIONAL ADVICE

The Site is intended primarily for music criticism, entertainment, cultural commentary, information, and discovery.

Nothing on the Site constitutes legal, financial, tax, medical, investment, accounting, or other professional advice.

Users should consult appropriate professionals when professional advice is required.

45. SITE AVAILABILITY

Song.Reviews does not guarantee uninterrupted availability.

The Site may be unavailable because of:

  • maintenance;
  • upgrades;
  • hosting failures;
  • network failures;
  • software errors;
  • security incidents;
  • third-party service outages;
  • attacks;
  • power failures;
  • force majeure events;
  • business decisions; or
  • other circumstances.

Song.Reviews may suspend, modify, replace, redesign, restrict, or discontinue any portion of the Site without liability except where a separate written agreement expressly provides otherwise.

46. CHANGES TO FEATURES AND CONTENT

Song.Reviews may change:

  • Site design;
  • navigation;
  • URLs;
  • rating systems;
  • editorial categories;
  • promotional products;
  • advertising inventory;
  • search functionality;
  • submission procedures;
  • RSS feeds;
  • APIs;
  • access controls;
  • partner offerings; or
  • other Site functionality.

A feature available today is not guaranteed to remain available permanently.

47. ARCHIVAL CONTENT

The Site may contain archival material that reflects facts, opinions, terminology, links, relationships, scores, or circumstances existing at the time of original publication.

Song.Reviews is not obligated to continually update every archival page merely because circumstances subsequently change.

Song.Reviews may add updates or corrections when appropriate.

48. SEARCH RESULTS, RANKINGS, TRENDING DATA, AND RECOMMENDATIONS

Search results, trending lists, rankings, recommendations, featured placements, and similar Site features may be generated using different methods.

Depending on the feature, methods may include:

  • editorial selection;
  • recency;
  • relevance;
  • popularity;
  • analytics;
  • metadata;
  • algorithmic calculations;
  • randomization;
  • commercial placement; or
  • combinations of factors.

Commercial placements will be distinguished where appropriate.

No User has a right to a particular search ranking or Site placement.

49. BETA AND EXPERIMENTAL FEATURES

Song.Reviews may introduce experimental, automated, beta, preview, or unfinished features.

Such features may contain errors, be changed without notice, or be discontinued.

Use of experimental features is at your own risk.

50. SECURITY

Song.Reviews may employ measures intended to protect the Site but cannot guarantee that the Site will be free from vulnerabilities, malicious activity, unauthorized access, or other security problems.

Users must not test, probe, scan, exploit, or circumvent Site security without prior written authorization.

Nothing in these Terms should be interpreted as authorization to conduct security testing.

51. NO WARRANTY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, SERVICES, RATINGS, REVIEWS, LINKS, PROMOTED CONTENT, PARTNER CONTENT, SEARCH FEATURES, RECOMMENDATIONS, AND OTHER MATERIAL ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SONG.REVIEWS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • COMPLETENESS;
  • RELIABILITY;
  • AVAILABILITY;
  • SECURITY; AND
  • QUIET ENJOYMENT.

SONG.REVIEWS DOES NOT WARRANT THAT:

  • THE SITE WILL ALWAYS BE AVAILABLE;
  • SITE CONTENT WILL ALWAYS BE ERROR-FREE;
  • EVERY LINK WILL REMAIN VALID;
  • EVERY FACT WILL REMAIN CURRENT;
  • EVERY REVIEW WILL AGREE WITH YOUR OPINION;
  • A RECOMMENDED SONG OR PRODUCT WILL SATISFY YOU;
  • A PARTNER’S CLAIMS ARE ACCURATE;
  • THIRD-PARTY SERVICES WILL PERFORM AS EXPECTED; OR
  • USE OF THE SITE WILL PRODUCE ANY PARTICULAR RESULT.

Some jurisdictions do not permit certain warranty exclusions, in which case those exclusions apply only to the maximum extent permitted by law.

52. ASSUMPTION OF RISK

You use Site information at your own discretion.

Music preferences are inherently subjective.

Purchasing music, tickets, merchandise, subscriptions, products, or services based on Site content involves your own independent decision.

You are responsible for evaluating whether a purchase, subscription, event, product, service, or recommendation is appropriate for you.

53. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SONG.REVIEWS AND ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, REVIEWERS, EDITORS, CONTRIBUTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SITE.

THIS INCLUDES, WITHOUT LIMITATION:

  • LOST PROFITS;
  • LOST REVENUE;
  • LOST BUSINESS;
  • LOST OPPORTUNITY;
  • LOSS OF GOODWILL;
  • LOSS OF DATA;
  • LOSS OF AUDIENCE;
  • REPUTATIONAL LOSS;
  • BUSINESS INTERRUPTION;
  • PURCHASE DECISIONS;
  • THIRD-PARTY TRANSACTIONS; OR
  • OTHER INTANGIBLE LOSSES.

To the maximum extent permitted by applicable law, the aggregate liability of Song.Reviews arising from or relating to a User’s use of the Site will not exceed the greater of:

  1. the amount the User directly paid Song.Reviews for the service giving rise to the claim during the twelve months immediately preceding the event giving rise to liability; or
  2. one hundred United States dollars (US $100).

A separate written Partner or commercial agreement may establish a different limitation of liability for services governed by that agreement.

Nothing in these Terms excludes liability that applicable law prohibits Song.Reviews from excluding.

54. THIRD-PARTY DISPUTES

Song.Reviews is not responsible for disputes between Users and:

  • artists;
  • labels;
  • merchants;
  • streaming services;
  • retailers;
  • ticket providers;
  • advertisers;
  • Partners;
  • payment processors;
  • delivery providers;
  • venues;
  • platforms; or
  • other third parties.

You must resolve such disputes directly with the relevant third party unless applicable law provides otherwise.

55. PARTNER INDEMNIFICATION

To the maximum extent permitted by law, each Partner agrees to defend, indemnify, and hold harmless Song.Reviews and its owners, operators, employees, contractors, editors, contributors, and agents from claims, damages, judgments, losses, liabilities, penalties, costs, and reasonable legal fees arising from or relating to:

  • Partner Content;
  • advertising claims;
  • unauthorized intellectual property;
  • false or misleading statements supplied by the Partner;
  • failure to make legally required disclosures;
  • infringement claims;
  • privacy or publicity claims;
  • products or services promoted by the Partner;
  • fulfillment disputes;
  • Partner violations of law;
  • Partner violations of these Terms; or
  • Partner breach of representations or warranties.

This section may be supplemented or replaced by indemnification provisions in a separate Partner agreement.

56. USER INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Song.Reviews from third-party claims arising directly from your unlawful use of the Site, your infringement of another person’s rights, your unauthorized Submission, or your material violation of these Terms.

This provision does not require a consumer to indemnify Song.Reviews for Song.Reviews’ own unlawful conduct where such indemnification is prohibited by law.

57. TERMINATION AND RESTRICTION OF ACCESS

Song.Reviews may restrict or terminate access to Site features where reasonably necessary to:

  • enforce these Terms;
  • prevent abuse;
  • protect infrastructure;
  • comply with law;
  • respond to security threats;
  • protect other Users;
  • enforce commercial agreements; or
  • discontinue a service.

Termination of access does not terminate provisions that by their nature should survive, including provisions relating to intellectual property, licenses already granted, disclaimers, limitations of liability, indemnification, dispute resolution, and accrued obligations.

58. GEOGRAPHIC AVAILABILITY

Song.Reviews is operated from the United States.

The Site may be accessible internationally.

Song.Reviews does not represent that all Site content, promotions, advertisements, or services are appropriate or lawful in every jurisdiction.

Users accessing the Site from other jurisdictions are responsible for compliance with laws applicable to them.

59. COMPLIANCE WITH LAW

Users and Partners must comply with laws and regulations applicable to their use of the Site.

Nothing in these Terms requires either party to engage in unlawful conduct.

Where a provision conflicts with a mandatory legal requirement, the mandatory requirement controls to the minimum extent necessary.

60. FORCE MAJEURE

Song.Reviews will not be responsible for delay or failure caused by events reasonably outside its control, including:

  • natural disasters;
  • severe weather;
  • war;
  • terrorism;
  • civil unrest;
  • labor disputes;
  • government action;
  • epidemics;
  • pandemics;
  • utility failures;
  • Internet failures;
  • cloud-service failures;
  • cybersecurity incidents;
  • widespread software failures; or
  • failures of essential third-party infrastructure.

This section does not excuse obligations that applicable law does not permit to be excused.

61. CHANGES TO THESE TERMS

Song.Reviews may modify these Terms from time to time.

Updated Terms may be posted on the Site with a new “Last Updated” date.

Unless otherwise stated or required by law, revised Terms become effective upon publication.

Material changes may be communicated through additional means where Song.Reviews determines notice is appropriate.

Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms.

If you do not agree to a revision, discontinue use of the Site.

Changes do not retroactively alter accrued contractual rights where applicable law prohibits retroactive modification.

62. GOVERNING LAW

These Terms will be governed by the laws of the United States of America, without regard to conflict-of-laws principles, except to the extent applicable federal law or another mandatory law controls.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

63. INFORMAL DISPUTE RESOLUTION

Before filing a lawsuit arising primarily from these Terms or use of the Site, the complaining party is encouraged, and where enforceable required, to provide written notice describing:

  • the identity of the complaining party;
  • the nature of the dispute;
  • the facts supporting the claim;
  • the relief requested; and
  • reasonable contact information.

The parties should attempt in good faith to resolve the dispute for at least thirty days after receipt of sufficient notice before commencing formal proceedings, except where immediate relief is reasonably necessary to protect legal rights.

64. VENUE

Subject to mandatory applicable law, any judicial proceeding arising from or relating to these Terms or the Site shall be brought in the state or federal courts in a jurisdiction of Song.Reviews’s choosing, and each party consents to personal jurisdiction and venue in those courts.

Consumers retain any venue rights that applicable law prohibits these Terms from waiving.

65. JURY TRIAL WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES THE RIGHT TO A TRIAL BY JURY IN A DISPUTE ARISING FROM OR RELATING TO THESE TERMS OR THE SITE.

Where such a waiver is not enforceable, this provision has no effect.

66. TIME LIMIT FOR CLAIMS

To the maximum extent permitted by applicable law, a claim arising from these Terms or use of the Site must be commenced within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim.

If applicable law requires a longer limitations period or prohibits contractual shortening of the period, the legally required period applies.

67. EQUITABLE RELIEF

Nothing in these Terms prevents Song.Reviews or another party from seeking temporary, preliminary, or permanent injunctive relief where legally appropriate to protect intellectual property, confidential information, system security, or other rights for which monetary damages would be inadequate.

68. SEVERABILITY

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent legally permissible or, if necessary, severed.

The remaining provisions will remain in effect.

69. NO WAIVER

Failure by Song.Reviews to enforce a provision of these Terms does not waive the right to enforce it later.

A waiver is effective only for the specific matter for which it is given.

70. ASSIGNMENT

You may not assign contractual rights or obligations under these Terms in connection with commercial Site services without Song.Reviews’ written consent.

Song.Reviews may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, transfer of the Site, change of ownership, or similar transaction.

Any assignment remains subject to mandatory applicable law.

71. NO PARTNERSHIP OR AGENCY

Use of the word “Partner” is a commercial description and does not, by itself, create a legal partnership.

Nothing in these Terms creates a partnership, joint venture, fiduciary relationship, franchise, agency, employment relationship, or authority for one party to bind another.

A Partner may not represent that it owns, controls, operates, or speaks for Song.Reviews unless separately authorized in writing.

72. NO THIRD-PARTY BENEFICIARIES

Except where expressly stated, these Terms do not create enforceable rights for persons who are not parties to them.

73. HEADINGS

Section headings exist for convenience.

They do not limit or control interpretation of the substantive provisions.

74. INTERPRETATION

Words such as “including” and “includes” are illustrative and do not mean “only.”

Singular terms may include the plural where context requires.

References to laws include amendments, successor provisions, and implementing regulations where appropriate.

75. ENTIRE AGREEMENT

These Terms, together with policies expressly incorporated by reference and any applicable separately executed agreement, constitute the agreement between Song.Reviews and the User concerning use of the Site.

They supersede prior oral or written understandings concerning the same subject matter except for separate agreements that expressly remain in effect.

76. ORDER OF PRECEDENCE FOR COMMERCIAL PARTNERS

For a Partner subject to a separately signed commercial agreement, the following order applies in the event of a direct conflict:

  1. a signed amendment expressly modifying the commercial agreement;
  2. the signed commercial agreement;
  3. an applicable insertion order or campaign schedule incorporated into that agreement;
  4. these Terms; and
  5. general Site policies.

A higher-priority document controls only concerning the subject matter of the conflict.

Nothing in this order should be interpreted as silently purchasing editorial favorability.

77. SURVIVAL

Provisions that logically should survive termination will survive, including provisions concerning:

  • intellectual property;
  • content licenses;
  • historical publication rights;
  • payment obligations;
  • representations and warranties;
  • indemnification;
  • disclaimers;
  • limitation of liability;
  • dispute resolution;
  • governing law; and
  • interpretation.

78. EDITORIAL ETHICS SUMMARY

For clarity, Song.Reviews’ commercial and editorial principles under these Terms may be summarized as follows:

Editorial reviews are independent.

Affiliate compensation does not determine scores or favorability.

An Affiliate Link may appear with positive, mixed, or negative Editorial Content.

Advertising purchases do not purchase favorable reviews.

Promoted Items are paid premium placements, not independent review scores.

Promoted Content is Partner-supplied commercial content and is not represented as independent Song.Reviews criticism.

Partners are responsible for claims contained in the promotional content they supply.

Song.Reviews does not independently score active Partners because doing so would create an editorial conflict of interest.

Existing independent reviews published before a partnership may remain available and are not retroactively altered because a commercial relationship later arises.

Partner status does not grant a right to suppress criticism, alter historical scores, control unrelated Editorial Content, or obtain special editorial consideration.

Commercial relationships should be disclosed where appropriate so readers can distinguish advertising from independent criticism.
